These Terms and Conditions (“Terms”) govern your use of the ZM Digitizing website and services. By placing an order, submitting a design, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. About ZM Digitizing
ZM Digitizing provides professional machine embroidery digitizing, vector artwork conversion, and custom embroidered patch services to individual and business customers, including through our website and our Etsy storefront (etsy.com/shop/ZMDigitizing).
2. Services Offered
We offer, among other services:
Embroidery digitizing (conversion of artwork/logos into stitch-ready embroidery files)
Vector art conversion
Custom embroidered patches
File format conversion (e.g., DST, JEF, VP3, PES, and other major embroidery machine formats)
Subscription-based design packages (Silver, Gold, Platinum, and similar tiers), where offered
Package inclusions, pricing, and turnaround times are as stated on our website or as agreed in writing (including via email or chat) at the time of order. We reserve the right to update our service offerings, packages, and pricing at any time; changes will not affect orders already confirmed and paid for.
3. Placing an Order
To place an order, you must submit accurate information, including your name, company name (if applicable), contact details, artwork/design file, and specifications (size, format, machine type, quantity, and any special instructions). You are responsible for the accuracy and completeness of the information and files you provide. Orders are not confirmed until payment has been received in accordance with Section 5.
4. Turnaround Time
Standard turnaround times are stated on our website (currently advertised as approximately 1–6 hours for standard digitizing orders) but may vary depending on order complexity, volume, revisions requested, or file quality. Turnaround times are estimates, not guarantees, and are calculated from the time we receive complete and usable order information and payment. We will notify you if we expect a delay.
5. Pricing and Payment
Prices are as listed on our website or as separately quoted for custom or bulk orders, and are subject to change without notice for future orders.
We accept payment through the methods we make available at checkout or as separately agreed (which may include PayPal, Stripe, Zelle, CashApp, e-Transfer, or Etsy’s payment system for Etsy orders).
Full payment is generally required before work begins, unless otherwise agreed in writing.
You are responsible for any transaction fees, currency conversion charges, or taxes applicable to your order.
6. Revisions and Edits
Where a package or order includes free revisions or file format changes, these apply to reasonable adjustments to the original brief (e.g., resizing, thread color adjustment, minor stitch corrections). Requests that amount to a substantially new design may be treated as a new order and quoted separately. We reserve the right to reasonably define what constitutes a “minor” versus “new” revision.
7. Refund Policy
Because our services involve custom digital work produced specifically for each client:
Once a digitizing or vector file has been completed and delivered, it is generally non-refundable, as the work has already been performed.
If we are unable to deliver a working, usable file that matches the agreed specifications after a reasonable opportunity to correct it, you may request a full or partial refund at our discretion.
Refund requests must be submitted in writing to contact@zmdigitizing.com within a reasonable time of delivery, describing the issue.
For physical products (e.g., custom patches), refunds or replacements for defective or damaged items will be evaluated on a case-by-case basis and may require photographic evidence.
Orders placed and paid for through Etsy are also subject to Etsy’s applicable policies.
8. File Delivery and Ownership
Digital files are delivered electronically (e.g., email, download link, or cloud storage) in the format(s) agreed at the time of order.
Once we deliver the final files and payment has been made in full, you receive the right to use the delivered embroidery/vector files for your own production and commercial use.
We may, unless you request otherwise in writing, retain backup copies of completed files for your convenience (e.g., for future re-orders or format changes) and may reference completed work in our portfolio, unless you request confidentiality in writing at the time of order.
You are responsible for ensuring that any artwork or logo you submit to us does not infringe the intellectual property rights of any third party. You agree to indemnify ZM Digitizing against any claims arising from artwork you provide (see Section 11).
9. Client Responsibilities
You agree to:
Provide clear, accurate artwork/design files and specifications;
Respond to requests for clarification or approval in a timely manner, as delays on your part may affect turnaround time;
Only submit artwork you own or have the right to use for digitizing.
10. Prohibited Use
You may not use our services to digitize or reproduce artwork, logos, or designs that:
Infringe on any third party’s copyright, trademark, or other intellectual property rights, unless you can demonstrate you have the right to use them;
Are unlawful, defamatory, obscene, or otherwise objectionable.
We reserve the right to decline or cancel any order that we reasonably believe violates this section, with a refund issued for any unstarted work.
11. Limitation of Liability and Indemnification
To the maximum extent permitted by law:
ZM Digitizing’s total liability for any claim arising from an order is limited to the amount paid for that specific order.
We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities, arising from your use of our files or services.
You agree to indemnify and hold ZM Digitizing harmless from any claims, damages, or expenses (including reasonable legal fees) arising from artwork you submit or your misuse of delivered files.
Nothing in this section limits any liability that cannot be excluded or limited under applicable law.
12. Communication
By providing your email, phone number, or WhatsApp number, you consent to being contacted by ZM Digitizing regarding your order, including order updates, requests for clarification, and, where you have opted in, promotional communications. You may opt out of promotional communications at any time.
13. Governing Law
These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles, without prejudice to any mandatory consumer protection rights you may have under the laws of your own country of residence.
14. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
